Business/Corporate

I have practiced business/corporate law for over 14 years with law firms and as General Counsel, Vice President, Compliance for three subsidiaries of a Fortune 250 company.  As General Counsel, I was responsible for all legal matters of the companies.  Over my legal career, I personally handled matters impacting my clients including drafting and negotiating commercial contracts, including distributor agreements, non-disclosure agreements, customer contracts, and other types of contracts; corporate compliance matters; reviewing and advising human resources personnel and company management regarding employment matters; oversight of trademarks; conducting due diligence and assisting with drafting and negotiation of mergers and acquisition agreements; management of outside counsel with respect to any projects/matters on which they are engaged by the company; review, research and provide guidance to clients relative to all governmental laws, rules and regulations impacting the client.

I also created a regulatory compliance plan to ensure the company follows tariffs, laws, rules and regulations affecting the electricity industry.
